Article 14
Mental Health Europe - Santé Mentale Europe, shall have the following structure

IV.1. The General Assembly.

Article 15
The General Assembly is the body responsible for formulating broad policy. It shall consist of all the organisational full members of Mental Health Europe - Santé Mentale Europe, and a number of individual members as defined in the Regulations.
It shall be convened annually by the President, at a convenient location in Europe. The venue, date and agenda for the meeting shall be sent to all members not less than 30 days before the date of the General Assembly.
An Extraordinary General Assembly may be called by the President, or by petition of one
fifth of the organisational full members of Mental Health Europe - Santé Mentale Europe Members may be represented at the General Assembly by another member nominated as their proxy.
A General Meeting of all members of Mental Health Europe - Santé Mentale Europe, may be convened concurrently with the General Assembly. -
Article 16
The duties of the General Assembly shall include :
- approval of the Annual Report and Financial Statements and Budget
- election and dismissal or exclusion of Mental Health Europe- Santé Mentale Europe Board members
- adoption of policy and programme of Mental Health Europe- Santé Mentale Europe
- any modification of the Statutes
- dissolution of the organisation -
Article 17
A quorum for the conduct of business by the General Assembly shall be one fifth of the voting membership, either attending in person or represented.
Decisions shall be reached by simple majority of the voting members, either attending in person or represented.
Resolutions of the General Assembly shall be recorded in a Register, signed by the President and kept by the Honorary Secretary.
Proposals to amend the Statutes or dissolve Mental Health Europe - Santé Mentale Europe shall be made only by the Board of Mental Health Europe - Santé Mentale Europe or by not less than one fifth of the members.
The Board of Mental Health Europe - Santé Mentale Europe shall give notice to members not less than three months before of any meeting convened to make decisions on such a proposal.
If, however, the General Assembly called fails to have two thirds of members present or represented, a new General Assembly shall be called under the same conditions as stated.
This General Assembly shall have the power to make decisions without regard to the numbers of members present or represented.
Amendment of the Statutes shall not be effective until approved by Royal Decree and after publication in the Annexes of the Belgian Monitor.
IV.2. The Board.

Article 18
The Board of Mental Health Europe - Santé Mentale Europe is the body elected by the General Assembly to develop a strategy for implementing Mental Health Europe - Santé Mentale Europe policy and to carry out such further specific duties as may be delegated by the General Assembly.
The Board of Mental Health Europe - Santé Mentale Europe shall also include members from at least six different countries within the European Union. At least one member shall be Belgian.
Decisions of the Board shall only be legally binding when at least one fifth of its members are in attendance or represented.
A Board member of Mental Health Europe - Santé Mentale Europe may be represented by another representative.
The Board of Mental Health Europe - Santé Mentale Europe shall have power as defined by the Regulations to co-opt additional members with special interests or skills of value to Mental Health Europe - Santé Mentale Europe. They shall have no voting rights.
Board membership shall be for a period of two years. Members may then stand for re-election.
A quorum for conduct of business shall consist of half the Board members of Mental Health Europe - Santé Mentale Europe either attending in person or represented. -
Article 19
No member of the Board of Mental Health Europe - Santé Mentale Europe shall receive remuneration for acting in the capacity of Board member of Mental Health Europe - Santé Mentale Europe. The Board may reimburse expenses incurred on approved business of Mental Health Europe - Santé Mentale Europe.
IV.3. The Officers.

Article 20
The Board shall elect from its membership the Honorary Officers which shall consist of :
- A President
- A Vice President
- A Treasurer
- A Secretary
and such other Officers as the Board of Mental Health Europe - Santé Mentale Europe may determine.
IV.4. Liaison Officers.

Article 21
Liaison Officers can be appointed according to the Regulations.
